Why You Should Incorporate in Wyoming by Wyoming Discount Registered Agent

Why Should I Incorporate my Business in Wyoming?

Wyoming is very friendly to in-state and out of state businesses as they insulate the owners from potential lawsuits.  They do not store the business and partners information and will not share with the Internal Revenue Service since they do not have anything stored.

WyomingWyoming companies can issue stock for real estate, services, options, leases, capital and personal property.  The decision on how much stock is issued is done by the Directors or Managers and their decision is final.

Is it Really Legal to Incorporate in Wyoming When my Business is in Another State?

One of the number reasons companies from out of state incorporate in Wyoming is they are protected by Wyoming laws.  This means, if there is a lawsuit brought against the corporation, the litigation has to be done in Wyoming.  This adds additional costs to the lawsuit that most lawyers want to avoid.

Incorporating in Wyoming Protects Your Assets

Wyoming has about one thousand six hundred lawyers that can help you in case there is a lawsuit brought against a corporation.  The corporation insulates the owners’ personal assets so if there is a lawsuit, the only thing that can be seized would be the assets of the corporation.

Keep in mind that lawyers look for companies that have a lot of assets before they take on a case.  Many of our corporations who start building a lot of assets will form second and third or more other corporations to move some of their assets to protect them.

More Reasons to Incorporate in Wyoming:

    • Shares are not taxed in Wyoming
    • No state business license
    • No gift or inheritance tax
    • No franchise taxes
    • No personal income taxes
    • No unitary or estate tax
    • The fees are lower than most states
    • Shares for corporations are not taxed
    • Property and sales tax rates are competitive
    • Low employer payroll tax

How do I know if I Should Form a Limited Liability Company or a Corporation?

When you go to form your company, it is best to consult with your Certified Public Accountant or Lawyer to see what type of business entity would work best for your business.

The benefit of forming a corporation whether it is a “C” corporation or a “S” corporation is the owners can be paid a salary.  The corporation is then taxed like an individual.  Paying the owners a salary reduces the profit of the company thereby reducing the tax burden.

Limited Liability Company also knows as a LLC is best for a small business that does not plan on having employees.  A LLC cannot pay a salary to the owns as the profit and losses is passed on directly to the owners.  When taxes are calculated, each owner is given a K-1 which they then use for their personal income tax calculation.  In the case of one owner, taxes can be calculated as a partnership or sole proprietor.

LLC’s in Wyoming are popular as they are easy to set up and the fees can be much lower than other states.

The professionals at Wyoming Discount Registered Agent have been working with businesses all over the United States to help them set up their corporation or Limited Liability Company in Wyoming.

Dallas TX Hood Cleaning Reviews Three Great Italian Restaurants in Dallas, Texas

Dallas Texas Restaurant Campisis’s restaurants has a long history in Dallas, Texas.  There are several of them located in the Dallas area but the one on Mockingbird Lane has been at that location since 1950.

Always run by family from generation to generation the empire is run by David Campisi and his family.  David’s great-grandparents, Papa and Antonia Campisi came to the United States in 1904 from Sicily.  They were drawn to Dallas because a cousin sent them a telegram saying there was a grocery store for sale for eight hundred dollars.

They lived in the apartment above the store with their six kids, four girls and two boys.  The children helped in the grocery store stocking shelves and translating to customers.

At the end of World War II in 1946, Papa purchased a bar that had a small kitchen in the back.  When a cousin from New York visited, he told them about the pizza pies that were so popular.  The patrons loved the pies which caused them to have to move in 1950 to the Mockingbird location.

A real piece of history is Jack Ruby was a steady customer and family friend of the Campisi’s.  He enjoyed a dinner the night before he assassinated Lee Harvey Oswald.  I am sure people love to go there just for the history.  They have over one thousand posts on the internet with a solid four-plus star rating.

Dallas TX Restaurant MediaGallo Nero Italian Bistro, located in the Lower Greenville district of Dallas, got its namesake from the legendary black rooster symbol.  The legend of the Gallo Nero dates back to medieval times.  It is said there were two warring cities between Siena and Firenze who wanted to control Chianti territory.

Each city selected a knight to represent them.  These knights were to leave their perspective cities at sunrise and meet in the middle to create the boundaries.  In order to wake up, the Sieneses’ chose a white rooster and the Florentines picked a black rooster.

The black rooster was placed in a dark chicken-coop without feed for days caused the rooster to crow before dawn.  This caused the Florentine knight a head start so they got the majority of the territory.

Restaurant Hood Cleaning  Business Tips | October 2018

This is a guest article from Hood Cleaning Marketing (http://hoodcleaningmarketing.com). They are a marketing firm that specializes in helping hood cleaning companies to increase their business among restaurants in their cities.

The question of the week:  What can you do in your hood cleaning business to increase profits with your current clientele?

As we were approaching this question, I wanted to ask it as though you needed to keep the same restaurants in your list and not increase your price for your basic service.  So, this is truly to come up with a cost-cutting measure or measures.

Michael Bunga - Restaurant Hood Cleaning Company Owner in Austin TXThe first expert that I asked was Michael Bunga, owner of Pro Hood Cleaning in Austin Tx.  Michael has been in the restaurant hood cleaning business for 10 years and has a great and growing company in Austin.  He has a very strong business and has excellent reviews from the restaurants that he works with. So I put this question forward to him.  He told me of one interesting move that they’ve been currently testing.

Michael told me that a big expense in restaurant hood cleaning is the cost of plastic sheeting.  It’s heavy, it’s expensive, and it’s totally needed for hood cleaning.  What he says he’s been attempting is to have his hood cleaning teams using a thinner plastic sheet in situations where they can get away with it.  Going from a 50mil down to a 26mil is over a 50% savings per roll.  In the course of a year, this can put a huge amount of money back into a restaurant hood cleaning business owners pocket.

Not all the time is the thinner plastic sheeting appropriate.  Hood cleaners can rip the plastic more easily and then there are no savings.  So, you have to train your cleaning teams to watch for appropriate situations for use.

The second expert that I put this question to was Benny Roche of Nashville Hood Cleaning Pros.  His Nashville Hood Cleaning company is growing very quickly and Benny has a growth plan for his business to quadruple his restaurant hood cleaning business by 2020.

When I asked this question of Benny, his answer was about systems.  Benny thinks that the best way to lower costs in the restaurant hood cleaning business is to systemize the tactics of cleaning so that the teams he sends out are treating every hood cleaning treatment the exact same way.

So, where do the savings come from in that case?  Well, from the time on the job being cut and from minimizing hood cleaning crew size.  If Benny sends a crew out and the crew knows that the restaurant is in a strip mall, or in a stand-alone building, they know how to move faster because the crew does not need to do an extensive discovery look before starting.  This allows him to run with a slightly smaller crew (2 as opposed to 3) and they can each move quickly to the hood and to the vent system and get the work done.

I’d like to thank both my restaurant hood cleaning experts for their taking the time to reveal information about their businesses this week.
